Eagles FA Constitution
As ratified at the November 6th 2001 AGM, with amendments in yellow as agreed at the 5th December 2007 AGM
Clause 1
The Club shall be known as the EAGLES FLYING ASSOCIATION. Hereinafter referred to as the EFA.
Clause 2
The aims and objectives of the EFA are to provide a safe flying site to fly model
aircraft at any time from dawn until dusk.
Clause 3
(a) The membership shall be limited to 50 members.
(note – the 2007 AGM empowered the Committee to use it’s discretion up to 55 members for 2008.)
(b) The day to day administration of the club shall be run by three executive committee members; these being the Chairman, Treasurer and Secretary.
(c) The three executive posts will be formally elected each year at the AGM. No executive post may be held for more than two consecutive years.
(d) The membership shall have the right to accept, reject or expel any member on a simple majority vote at an EGM or AGM.
(e) There will be an annual general meeting, held during the last quarter of the year, to renew membership and conduct any other business.
(f) A minimum of five members may also call an extraordinary general meeting at any other time of their choosing.
(g) Each member will be issued with an annual membership card.
(h) The executive committee may co-opt other members as and when required.
(j) It is expected that all members will take an equal share of non-executive and other work necessary to the smooth running of the club.
Clause 4
(a) The EFA shall hold a current bank account. Cheques may be signed by any two members of the executive committee.
(b) The Treasurer must provide a statement of accounts which is available to all members at the AGM.
Clause 5
(a) In the event of a dissolution of the EFA, any assets will be equally shared out to all current members.
(b) The executive committee reserves the right to make a reasonable extra charge on all members during a year to cover unforeseen expenses. The amount to be agreed at an EGM of the whole membership
(c) In the event of any liabilities (at dissolution) exceeding club funds, then all current members will be requested to pay an equal share to cover any and all debts.
Clause 6
The constitution may only be changed at an AGM or EGM by a 75% majority vote of those present, including proxy votes by any members not present. These must be submitted in advance following receipt of the agenda. In the event of an equal vote the proposed change will fall.
For constitutional changes made at an AGM or EGM to be valid, a quorum of 50% of the membership is required.
Clause 7
Club subscription rates shall be subject to an annual review, with due regard to the Treasurer’s report, and the actual level decided at the AGM.
Clause 8
The club will arrange annual renewal or initial issue of BMFA insurance at each AGM. BMFA insurance will also be arranged for any new member subsequently joining prior to the next AGM.
NOTE: BMFA insurance is mandatory.
Clause 9
(a) Members inviting guests to fly at the club site are responsible for ensuring that their guests hold equivalent insurance cover, and accept full responsibility for their safety and behaviour.
(b) The EFA or the executive committee accept no responsibility for any liabilities, damages, costs or expenses arising from any individual members or their guests’ actions or liabilities.
